FTC Raises HSR Thresholds; Changes To Take Effect Mid-February

It’s that time of year again, when the Federal Trade Commission adjusts the dollar thresholds for pre-acquisition filings under the Hart-Scott-Rodino Act. From attorneys Paul Hewitt and Stacy Kobrick of Akin Gump:

  • The minimum transaction size test has increased from $70.9 million to $75.9 million (an approximate 6.6 percent increase). […]
  • The size-of-person thresholds have increased by a similar percentage amount. […]
  • The FTC has also adjusted the tiered filing fee structure in accordance with the adjustments to the jurisdictional thresholds.

The new thresholds are expected to go into effect in mid-February. Read more:
